The Board of Directors is the executive body of the Basin Committee.
As such, he is responsible for the implementation of the guidelines defined by the Basin Committee through the multiannual program interventions.
The Water Agency Mouhoun is part of a multi-year intervention program that ensures the implementation of the SDAGE and SAGE.
The multiannual program describes the structural projects related to the needs of the community in terms of water and sanitation. It sets the major priorities and the implementation of the action plan for integrated water resources management in the basin over the period. The multiannual program combines technical and financial priorities with the methods of intervention in the basin.

The Board is also responsible for ensuring the smooth operation of the Water Agency Mouhoun. It has in this respect with the broadest powers.
It may delegate to the Director General of the Agency of its powers except the following matters:
The Board of Directors is composed of members representing the State, respectively, the Local Authorities, water users and the staff of the Agency for Water Mouhoun.
Members of the three (03) colleges, appointed on a parity basis, are as follows:
Directors are appointed by each college in it among its members of the Basin Committee.
The President of the Board of Directors is appointed on the proposal of the Minister in charge of water among the representatives of the State and appointed by decree of the Council of Ministers.
The staff representative is appointed by the staff 1’Agence Water Mouhoun.
The members of the Board are appointed by Order in Council of Ministers for a term of three (03) years, renewable once.
The members of the Board are responsible to the Basin Committee. They are subject to penalties for any breach of their obligations as provided by regulation.
Can be directors, under the state, the institution presidents, ministers and directors or chiefs of staff.
In case of vacancy of a director, a new director is appointed within the college to which he belongs and appointed by Order in Council of Ministers. The administrator appointed and continues the mandate of his predecessor.
The Board of Directors meets two (02) times a year in ordinary session to adopt the budget for the coming year and to close the accounts for the last financial year. It may meet in special session whenever needed.
The Accountant and Financial Controller of the Water Agency Mouhoun attend meetings of the Board in an advisory capacity.
A representative of the General Directorate of the Treasury and Public Accounting, responsible for the management and monitoring of the state portfolio, and a representative of the Water Resources Department attend meetings of the Board of Water Agency Mouhoun as an observer.
The Chairman of the Board of Directors may invite to Board meetings any person whose opinion is likely to inform debates.
The Board of Directors shall validly deliberate if at least two thirds (2/3) of its members are present or represented. Each director may authorize another director to represent him. No director can not be the holder of more than one representation mandate.
The secretariat of the Board of Directors sessions is provided by the Director General of the Water Agency Mouhoun.
The decisions of the Board are taken by simple majority. In case of equality of votes, the Chairman has the casting vote.
Council deliberations are recorded in minutes signed by its President and Secretary. These minutes are sent within fifteen (15) days after their adoption to the guardianship of Ministers and the President of the Basin Committee.
The minutes are kept in a register kept at the headquarters of the Water Agency Mouhoun. The decisions recorded in the minutes oblige all members.
Members of the Board receive sitting allowances which amount is set by the Basin Committee.
The Chairman of the Board of Directors also receive a monthly allowance function whose amount is set by the Basin Committee.
Non-resident members in the locality where the town of the Board of Directors holds its session shall in addition receive, compensation for travel expenses and subsistence calculated according to the conditions defined by the Basin Committee.
For its operation, the Board of Directors may set up commissions whenever needed. Can be set up specialized committees as follows:
